Terms of Service

Effective 9 October 2026 · Version 1.2 · Last updated 9 October 2026

These Terms are a contract between you and BrightMinds Digital Marketing Corporation, a Philippine corporation with SEC registration number CS20200000946 and registered business address at Unit S13, 2nd Floor, Robertson Plaza, Kawit, Cavite, Philippines ("Operator", "we", "us"). BM-i is Operator's technology brand, BM-i Suite is its connected software ecosystem, and BM-i Studio is a service within the BM-i Suite ("Service"). By creating an account, accepting an order, or using the Service, you accept these Terms and the policies they incorporate, listed on our Legal page. If you act for an organization, you confirm you have authority to bind it.

1. Eligibility and accounts

You must be at least 18 and legally able to enter a contract. Provide accurate information, protect your credentials, use reasonable security such as two-factor authentication where offered, and promptly report unauthorized access. You are responsible for activity through your account except to the extent caused by our breach of law or contract. We may require verification and may reject, restrict or close accounts where permitted by law.

2. Organizations, workspaces and roles

An organization may contain workspaces, projects, client areas and members. The organization Owner controls billing, membership, exports, transfers and deletion, subject to the plan and the law. Admins and other roles have only the permissions shown in the Service. You are responsible for assigning roles, removing former personnel and having authority to process client information.

If an agency creates a client workspace, the agency must have the client's authorization. Unless a written order says otherwise, the organization Owner controls the workspace. We do not decide private agency–client ownership disputes. We may freeze transfers or deletion while credible claims are assessed, and may require written agreement, proof of authority or a lawful order.

3. The Service and changes

The Service may include content creation and editing, AI generation, brand tools, collaboration, review, scheduling, publishing, integrations, templates, stock assets and related features. Features may be in beta, limited by plan or region, or supplied by third parties. We may improve, replace, restrict or discontinue features. For material adverse changes to paid core functionality, we will give reasonable notice where practicable and provide any remedies required by applicable law.

4. Your content and permissions

You keep the rights you have in your prompts, uploads, brand assets, recordings and other content ("Customer Content"). You grant Operator and its contracted processors a worldwide, non-exclusive, limited license to host, reproduce, transform, transmit and display Customer Content only as needed to provide, secure, support and improve the Service as described in the Privacy Policy, comply with law, and enforce these Terms. This license ends when the content is deleted, subject to backups, legal retention and content already published to third-party platforms.

You confirm you have all rights, notices, consents and permissions needed for Customer Content, including from clients, employees, performers and every person whose face, likeness or voice is used.

5. AI output

Rights in generated output are covered by the AI and Generated Content Terms. Output may be inaccurate, not unique, unsuitable, not protectable by copyright, or similar to output made for others. You must review content before relying on, distributing or publishing it. The Service does not provide legal, medical, financial or other professional advice and does not guarantee factual accuracy, originality, trademark clearance or platform acceptance.

6. Approval, automation and publishing

The Service may offer draft-only, approval-required, scheduled and autonomous modes, and shows which mode is selected. You authorize the actions permitted by your configuration and your connected accounts' permissions. You remain responsible for destinations, dates, audiences, claims, disclosures and final content. Disconnecting an integration may not remove content already published. We may pause automation to protect users, platforms, security or legal compliance.

7. YouTube API Services

The Service's YouTube integration uses YouTube API Services. By connecting a YouTube channel or uploading through the Service, you also agree to be bound by the YouTube Terms of Service, and you acknowledge that Google handles your data under the Google Privacy Policy. How we use YouTube data is explained in our Privacy Policy.

  1. Current availability. The integration is in limited availability while Google reviews our use of YouTube API Services. Until that review is complete, YouTube keeps every video uploaded through the Service as Private. We will update these Terms when that changes.
  2. Your authorization. Only a workspace Owner or Admin can connect a channel, through Google's own consent screen. Nothing is uploaded unless a member with scheduling permission confirms the video's title, description, visibility and made-for-kids setting, confirms it follows YouTube's Community Guidelines, and authorizes the upload to the channel shown. The video is uploaded at the scheduled time with exactly those details.
  3. Your content and responsibility. You remain responsible for every video uploaded through the Service: having the rights and permissions it needs, its compliance with YouTube's Terms of Service and Community Guidelines, and the accuracy of the made-for-kids setting. YouTube may review, restrict or remove content under its own policies, and we do not control those decisions.
  4. Revoking access. You can disconnect YouTube at any time in the Service under Settings → Social accounts, which deletes our stored access and asks Google to revoke it, or remove the Service's access from your Google Account at myaccount.google.com/permissions. Disconnecting does not remove videos already on YouTube; delete those on YouTube.
  5. Questions. Email support@bm-i-suite.com. Google's sign-in screens show our contact as support.bmistudio@bm-i-suite.com; both addresses reach the same support team.

8. BM-i intellectual property

Operator and its licensors own the Service, software, interfaces, brands, Astrid and other characters, documentation, system designs, templates identified as BM-i assets, methods, workflows and underlying technology, including improvements. No source code, model, workflow, security or trade-secret rights are transferred. You receive a limited, revocable, non-transferable right to use the Service during your subscription, subject to these Terms.

You may not copy protected interface elements; reverse engineer the Service except where non-waivable law permits; discover or extract source code, prompts or model-routing logic; build a competing dataset from the Service; remove notices; publish benchmarks without our written consent; or use our confidential information to create a competing service.

9. Third-party services and assets

Integrations, AI models, fonts, stock media and other third-party materials may have separate terms and licenses, and your rights are limited by them. We do not transfer ownership of third-party assets. We are not responsible for third-party changes, outages or account actions, but this does not exclude liability that cannot lawfully be excluded.

10. Fees, credits and taxes

Paid use is governed by the Subscription, Billing and Credits Terms and the details shown at checkout. The Service is provided by Operator; payments are processed by a payment provider, and depending on how you pay, either that provider (as merchant of record) or Operator is the seller of record, as explained in those terms. You authorize the recurring charges shown at purchase. Credits are units for using the Service, not money or stored value. Estimates are not guarantees; the applicable charge is shown or can be determined before you commit to a paid generation or scheduled run.

11. Acceptable use

You may not use the Service to create, upload or publish sexual or sexually suggestive material, nudity, or content that sexualises any person. You may not create content that depicts a real person without their permission, including by imitating their face or voice. We may refuse or remove anything that breaks this, and repeated breaches end the account.

You must follow the Acceptable Use Policy and the rules of the platforms you publish to. We may investigate, remove or restrict content and suspend capabilities when reasonably necessary to prevent harm, fraud, infringement, security threats or unlawful conduct. Where appropriate, we will give notice and an opportunity to appeal.

12. Confidentiality

Each party may receive non-public information that is marked confidential or reasonably understood to be confidential. The recipient will protect it with reasonable care and use it only for this relationship. This does not cover information that is independently developed, lawfully received without restriction, or public through no breach. Disclosure required by law is permitted after notice where lawful. Our confidential information includes non-public software, roadmaps, system behavior, security information, pricing methods and documentation.

13. Feedback

If you voluntarily give suggestions, you grant Operator a perpetual, worldwide, royalty-free right to use them without identifying you or disclosing your confidential information. This does not transfer ownership of Customer Content or client data.

14. Privacy and business data

The Privacy Policy governs our processing as controller. Where we process personal data for a business customer as its processor, the Data Processing Addendum applies if it is part of the order or accepted through the Service.

15. Suspension and termination

You may cancel as described in the Billing Terms. We may suspend or terminate for material breach, unlawful use, security risk, non-payment, harm to others, or if we discontinue the Service. Except for urgent harm, fraud or legal restraint, we will ordinarily give notice and a reasonable chance to fix the issue. On termination, access ends; export and deletion follow the plan, the Privacy Policy and the Data Deletion Policy. Sections that by their nature should survive will survive.

16. Service levels and disclaimers

We provide the Service with reasonable skill and care. Except for express commitments and non-waivable consumer rights, it is provided "as is" and "as available". We do not guarantee uninterrupted operation, specific business results, platform reach, revenue or engagement, or that every error will be corrected.

17. Indemnity

To the extent permitted by law, a business customer will defend and indemnify Operator against third-party claims arising from its Customer Content, lack of required permissions, unlawful marketing, infringement, or material breach. Operator will promptly notify the customer, allow reasonable control of the defense, and cooperate. This does not apply to the extent a claim is caused by Operator's breach, negligence, willful misconduct or violation of law. Consumer liability remains subject to mandatory law.

18. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, exemplary or consequential loss, or for lost profits, revenue, goodwill or data, except where that exclusion is unlawful. Operator's total liability arising from the Service will not exceed the greater of the fees you paid for the affected Service in the 12 months before the event or US$100. This cap does not apply to fraud, willful misconduct, death or personal injury caused by negligence, breach of confidentiality, infringement indemnities, data-protection liability that cannot be capped, or other liability that cannot be excluded.

19. Governing law and disputes

These Terms are governed by the laws of the Republic of the Philippines, without depriving consumers of mandatory protections where they live.

  1. Talk to us first. Before any formal proceeding, email legal@bm-i-suite.com and both parties will try in good faith to resolve the dispute for 30 days.
  2. Arbitration. If it is not resolved, the dispute will be settled by arbitration in the Philippines under the rules of the Philippine Dispute Resolution Center, Inc., before a single arbitrator, in English, with the seat of arbitration in Metro Manila. The award is final and binding.
  3. Courts. Either party may go to the courts of Cavite or Metro Manila to enforce an award, to seek urgent interim relief, or where a dispute cannot lawfully be arbitrated. Claims that qualify for small-claims procedure may be brought there.
  4. Consumers. If you are a consumer, nothing here removes rights you have under the mandatory law of the place you live, including any right to bring a claim in your local courts or consumer authority.

20. Notices and changes

We may send notices through the Service or to your registered email. We will post revised Terms with a new effective date and give reasonable advance notice of material changes. Changes do not retroactively reduce rights you have already gained. Continuing to use the Service after the effective date means you accept the changes where the law allows; otherwise we will ask for your consent again.

21. General

Neither party may assign this agreement without consent, except that Operator may assign it in a merger, reorganization, corporate separation, or sale or transfer of substantially all relevant BM-i assets, including to a future duly incorporated BM-i entity, with required notice and continued protection of personal data. A proposed future company is not the Operator until a lawful transfer takes effect. If a provision is unenforceable, the rest continues. Not enforcing a right is not a waiver. These Terms, the incorporated policies and any order are the complete agreement; an order prevails in a direct conflict.
